    Authorization of a Business Restructuring Plan Submitted by Sega Corporation under the Industrial Competitiveness Enhancement Act

    On March 26, 2015, the Ministry of Economy, Trade and Industry (METI) authorized a business restructuring plan submitted by Sega Corporation, pursuant to Article 24, paragraph (1) of the Industrial Competitiveness Enhancement Act.

    According to the plan, the company will conduct a part of the structural reform initiatives across its group companies, which have been undertaken by Sega Sammy Holdings Inc., the wholly-owning parent company of Sega Corporation, and, as such effort, reorganize the entertainment contents business of the company into a new corporate entity, which will be led by Sega Holdings, a newly established intermediate holding company.

    Through conducting efforts in the plan, the company will prepare a business framework under which the reorganized group companies will swiftly address the changes in market environments as well as customers’ needs by industry, shift the human resources in charge of development into growth fields, and introduce new marketing approaches. By doing so, the company will endeavor to advance the efforts for improving its earnings ratios.

    1. Authorization of the business restructuring plan

    METI examined the business restructuring plan submitted by Sega Corporation, pursuant to Article 24, paragraph (1) of the Industrial Competitiveness Enhancement Act, concluded that the company satisfied the requirements specified by said Act as an entrepreneur who is to carry out business restructuring defined by Article 2, paragraph (11) of said Act, and authorized the plan.

    Following the authorization, the company is now eligible for a reduction of the registration and license tax required for the real property registration and commercial registration of Sega Holdings upon the company split (incorporation-type company split).
