Study Group for Japanese Companies’ M&A Overseas to be Established

The Ministry of Economy, Trade and Industry (METI) decided to establish a Study Group for Japanese Companies’ M&A Overseas. The study group aims to analyze the current situation and challenges that Japanese companies are facing in their acquisition of overseas companies and the management of their acquired overseas affiliated companies thereafter. Based on the analysis results, the Group aims to provide information to companies and stakeholders, including advisors and practitioners focused on M&A practices, as a reference for them in carrying out M&A activities. The study group will hold its first meeting on August 29, 2017, and have an interview with Mr. Yasushi Shingai, executive vice president, Japan Tobacco Inc.

1. Purpose of and background to the establishment of the study group

In recent years, Japanese companies have been facing concern over the future sluggishness of the domestic markets and the increase in their funds on hand due to the improving profitability. Against this backdrop, they have been more proactively engaging in activities involving in-out type mergers-and-acquisitions (M&A) in which Japanese companies buy overseas companies.

While this trend is growing, some Japanese companies are facing emerging problems in management of acquired overseas affiliated companies, smaller benefits falling below initial expectations, and other unexpected problems. These problems are considered bottlenecks that Japanese companies may encounter in their M&A overseas.

To overcome these challenges, the study group aims to analyze the current situation and challenges that Japanese companies are facing in their M&A of overseas companies. Based on the analysis results, they aim to offer case examples, leading initiatives and other efforts to companies and stakeholders committed to practices involving M&A overseas as a reference for them in carrying out such activities and to encourage them to make use of such information. Through these efforts, the study group will strive to assist Japanese companies in recognizing major challenges in advancing M&A overseas and in carrying out measures for overcoming such challenges, thereby helping such companies achieve successful M&A overseas.

2. Future schedule

The study group will hold its first meeting on August 29 (Wed.), 2017. Following this, it will hold meetings once every month or two until the end of FY2017.

The meetings will not be open to the public in order to ensure an opportunity for members of the study group to exchange their opinions in a frank and free manner. However, a report containing the case examples, leading initiatives and other information will be made public.

In addition, an interim report on the discussion results of the study group will be publicized, while a symposium and other opportunities will also be held in an open-discussion style forum.
