METI-RIETI Policy Symposium to be Held Cross-border M&A: Challenges in Acquisitions of Overseas Companies and Solutions to the Challenges
The Ministry of Economy, Trade and Industry (METI) recognizes the importance of advancing analysis of obstacles and issues that Japanese companies may face in accomplishing cross-border mergers and acquisitions (M&A) and that of raising awareness of key points and problems inhibiting successful cross-border M&A among the broad range of business owners and company members committed to such M&As. As part of the efforts to this end, on November 29 (Wed.), 2017, METI and the Research Institute of Economy, Trade and Industry (RIETI) will jointly hold a symposium.
1. Purpose of and background to holding the symposium
In recent years, Japanese companies have been proactively engaging in activities involving cross-border M&A in which Japanese companies buy overseas companies, and the scale of the respective M&A cases is increasing. Meanwhile, some Japanese companies are facing a variety of problems, including smaller-than-expected benefits of these mergers or acquisitions, difficulties in the management of these overseas companies and other unexpected cases.
To address this situation, in August 2017, METI established a Study Group for Japanese Companies’ M&A Overseas, aiming to analyze the current situation of cross-border mergers and acquisitions by Japanese companies and the challenges therein and to provide case examples and leading efforts as reference material to companies and stakeholders involved in M&A.
In light of the findings of the discussion by the study group and the results of a RIETI research project titled “Developing the Research Frontier in Corporate Governance Analysis,” which was a project researching the impact of Japanese Companies’ M&A on their corporate value and governance ; the abovementioned symposium will be held, bringing together academic experts and participants in M&A, with the aim of providing such experts with an opportunity to hold discussions before the public concerning issues that Japan should address. Moreover, the symposium will openly call for opinions from participants concerning Japanese Companies’ cross-border M&A as a reference for future discussions.
Through this effort, METI will advance the analysis of challenges and other issues that Japanese companies may face in pursuing cross-border M&A and will raise awareness of key points and obstacles to be overcome for successful cross-border M&A among a broad range of business owners and members of companies committed to such M&A.
