Release of Report titled “Measures for Supporting Efforts for Encouraging Companies to Integrally Disclose Business Reports, etc. and Securities Reports”

Aiming to realize the most effective and efficient approaches in the world to encouraging companies to disclose their corporate information, a goal set under the Future Investment Strategy 2018, the Ministry of Economy, Trade and Industry (METI) and related ministries and agencies have jointly been engaging in cross-institutional discussions and development of environments for such disclosure. As one of these efforts, METI and related ministries and agencies discussed measures for supporting companies in making trial efforts for integral disclosure of their business reports and securities reports and it hereby releases the details of the discussion results.

1. Background

The report titled “Japan’s Efforts for Encouraging Companies to Integrally Disclose Business Reports, etc. and Securities Reports,” which was formulated by the Cabinet Office, the Financial Services Agency, the Ministry of Justice and METI and released on December 28, 2017, states that under the related systems, companies are eligible to compile one report that meets the requirements under both the Companies Act and the Financial Instruments and Exchange Act and to disclose the report to their shareholders before holding shareholder meetings.

The related ministries and agencies have been holding discussions on measures for supporting companies engaging in trial efforts for integral disclosure of business reports and financial statements under the Companies Act (hereinafter referred to as the “business reports, etc.”) and securities reports under the Financial Instruments and Exchange Act, in collaboration with such companies and investors. As an outcome of the discussions, the ministries and agencies compiled a collection of descriptive examples based on such trial efforts of the companies. As the collection is expected to be useful for companies that intend to integrally disclose such reports as a reference, METI hereby releases the examples.

Based on the discussion results, the related ministries and agencies will continue to discuss the issue so as to realize the most effective and efficient approaches to encouraging companies to disclose their corporate information.
