Casebook on Economic Security and the Antimonopoly Act Released and Related Seminar Held

Joint News Release with the Japan Fair Trade Commission and the Ministry of Land, Infrastructure, Transport and Tourism

The Japan Fair Trade Commission (JFTC), the Ministry of Economy, Trade and Industry (METI), and the Ministry of Land, Infrastructure, Transport and Tourism (MLIT)  compiled 15 hypothetical cases concerning information exchanges, joint activities, and business combinations among companies undertaken from the perspective of economic security, together with the views of the JFTC under the Antimonopoly Act with respect to those cases, and published them as the “Casebook on Economic Security and the Antimonopoly Act”.

1. Outline

As the security environment becomes more complex, cooperation across the entire supply chain and among companies in the same industry (e.g., information exchange regarding acquisition proposals from overseas companies and technology transfers, joint procurement of critical raw materials, and business restructuring to strengthen competitiveness) is becoming increasingly important in order to respond to risks that could result in the loss of Japan's autonomy and indispensability, such as disruptions in the supply of critical materials and forced technology transfers.

At the same time, industry has expressed concerns that such cooperation could give rise to potential conflicts with the cartel and business combination regulations under the Antimonopoly Act.

For this reason, the JFTC, METI, and MLIT have compiled 15 hypothetical cases submitted by the industrial sector that are considered from the economic security perspective, classifying them into three categories―information exchange, joint activities, and business combinations―together with the JFTC’s views under the Antimonopoly Act on each case. They released the results under the title Casebook on Economic Security and the Antimonopoly Act.

In this Casebook , METI and MLIT provided the hypothetical cases, and JFTC responded by providing its views under the Antimonopoly Act.

2. Holding of a Seminar

In order to swiftly disseminate the Casebook throughout the industry, administrative officials from the relevant ministries and agencies (JFTC, METI, and MLIT,) will hold a seminar to provide explanations. Anyone, including those from within the industry, will be able to participate.
