The Study Group for Collaboration and Joint Venture Cases Between Japanese and Foreign Companies

・Foreign Direct Investment (FDI) boost domestic innovation and help Japan capitalize on overseas economic growth, thus contributing to the growth of the Japanese economy. The Government of Japan has been implementing government-wide initiatives to promote FDI in Japan, and it formulated the “Action Plan for Attracting Human and Financial Resources from Overseas,” which was adopted on April 26, 2023 (Decision by the Council for Promotion of Foreign Direct Investment). The Action Plan states that “the government will analyze the effects on management improvement and reform in cases of inbound M&A transactions and joint venture with foreign companies and disseminate the results thereof.”
・In response to the complication and diversification of management issues faced by Japanese companies, it is important as one of their options to consider leveraging global networks and know-how of foreign companies to create innovation and new business models. Therefore, last fiscal year, the Ministry of Economy, Trade and Industry (METI) developed the “Case Studies Relating to the use of Inbound M&A Transactions” which would serve as a reference when Japanese companies may consider M&A activities in Japan to advance their sophistication of corporate management, while taking account of economic security issues. In order to resolve corporate management issues and create innovations as above, it is also necessary to look at other options than inbound M&A activities. Thus, this fiscal year, the analysis will be developed with respect to the effects regarding management improvement and reforms by focusing on collaboration and joint venture schemes between Japanese and foreign companies, other than inbound M&As.
・Accordingly, a new study group was established to examine the effects, the significance of inbound M&As, collaborations and joint ventures between foreign and Japanese companies in Japan and to discuss ways to disseminate such effects in the Japanese market. This study group will analyze the actual situation and issues of cases of inbound M&As, collaborations and joint ventures between foreign and Japanese companies in Japan, and thereby purports to creating a collection of case studies that can be used as reference for Japanese companies when they may consider advancing their cooperate management.
