FAQ on Integrated and Coordinated Disclosure of Business Reports, etc., and Annual Securities Reports (Institutional Framework) Updated

To make it easier for companies to undertake integrated and coordinated disclosure of business reports, etc., and annual securities reports, the Ministry of Economy, Trade and Industry (METI) has updated the FAQ on Integrated and Coordinated Disclosure of Business Reports, etc., and Annual Securities Reports (Institutional Framework). The widespread adoption of such disclosure in practice is expected to enable companies to achieve effective and efficient disclosure, and to further facilitate constructive dialogue between companies and investors.
Background and Overview
Under the current institutional framework, companies are allowed to prepare one document that satisfies the requirements for business reports and financial statements pursuant to the Companies Act (hereinafter referred to as the “Business Reports, etc.”) and for annual securities reports pursuant to the Financial Instruments and Exchange Act, and to disclose it prior to shareholders’ meetings.
To make it easier for companies to undertake coordinated disclosure, METI compiled the FAQ on Coordinated Disclosure of Business Reports, etc., and Annual Securities Reports (Institutional Framework) in 2021.
Following the compilation of the FAQ, there have been revisions to the related provisions in the Companies Act, the Financial Instruments and Exchange Act, and other laws and regulations. In addition, an increasing number of companies have been submitting annual securities reports prior to their shareholders’ meetings, while some companies have made timely disclosures stating that they changed the record date for their shareholders’ meetings to enable integrated disclosure. In light of these changes in disclosure practices and the overall environment, METI has revised the FAQ in cooperation with the Ministry of Justice, the Financial Services Agency, and other relevant organizations.
METI hopes that this updated FAQ will serve as a useful reference for companies that are considering undertaking such integrated and coordinated disclosure as a way of enhancing the efficiency and effectiveness of preparing their disclosure documents.
